Synergy M&A is a transaction advisory consulting company specializing in all aspects of a confidential sale, merger, acquisition and valuation of privately and public held companies. Services:
Synergy M&A will provide directly, or integrate and manage, all of the following services on your behalf:
• Assessment: Review and analysis of your personal goals, potential exit strategies, and options, all against the backdrop of your company status and plans.
• Intermediary: Completion of a full campaign of marketing, selling and deal-making for you and your company
• Business Valuation: Determination of the current value of the company, or projecting a required value to achieve your goals
• Legal: Provision of advice and / or execution of a transaction's legal issues and drafting of formal contract documents with our strategic partners.
• Capital Sourcing: Comprehensive search for Capital through Affiliates and Industry sources, to facilitate recapitalization, expansion plans or other growth needs both locally and Internationally.
• Taxation Advice: Exploration of post-transaction liabilities as an aid to deal structure and personal planning.
• Integration Advice: Assessment of critical success factors in the period immediately following a merger or acquisition, including integration of redundant teams, and key employee retention programs.
• Management Package: Exploration of issues surrounding ongoing compensation for owners as retained executives in the new entity, including "earn-outs" and other incentive components.
• Investor/buyer sourcing from thousands of pre-qualified candidates in our own and other industry databases.
• Asset Divestitures for Corporations or Investor funds
• BEE Investment: We advise on structuring corporate transactions, particularly black economic empowerment ("BEE") transactions. We specialise in implementing broad-based empowerment transactions (for the benefit of employees) and have a leading, innovative structure for use by medium-sized businesses. We also deal with other transactions such as the sale of a shareholding to another investor or an acquisition. An acquisition could be the purchase of shares or the purchase of assets - often a leveraged buyout (LBO) or management buyout (MBO).Our services include deal structuring, project management and valuation. We work closely with lawyers and accountants. We focus on large private companies and unlisted public companies.

Confidentiality
• It's critical for an M&A partner to sustain extreme care when dealing with confidential and/or sensitive information at all stages of a relationship with a client. Synergy not only commits to this, but reinforces it by ensuring that all information about a client, all potential investor/buyer targets, and any negotiation strategies are first approved by the client. We sign Non-Disclosure agreements early in our discussions, and require any third-parties involved to sign them also.
Selectivity
• We accept only a small number of assignments every year - from clients whom we believe ultimately have a strong likelihood of a successful sale. Also, we only accept assignments after we've agreed with you on a realistic valuation of your business. Subsequently we are totally committed to achieving closure of each transaction.
Seniority
• We dedicate only senior professionals to develop and manage a client's full M&A transaction cycle. We never use junior staff to manage deals.

Synergy M&A Planner
• Before starting an assignment, we work together with clients to build a complete set of milestones and target dates associated with the M&A cycle.
• Then, during the M&A sales cycle we hold regular reviews with you to assess how far we're along the plan and how well it's working. In this way you can be sure that Synergy is performing as expected, not placing you on the back burner.
• The net targeted aim is to complete a transaction on-time and on-budget, fulfilling your plans and objectives with no surprises or unnecessary delays.
Effective M&A
An effective M&A service must excel in 4 critical areas:
1. Absorption
We set out to capture and understand, quickly and accurately, not only a grasp of the client company operations, but also its strengths and weaknesses, market position, competitors and much more. Without this understanding we could not present the most attractive picture to investor/buyer candidates.
For example:
• Underexploited business strategies or capital assets that could trigger future growth for a new owner or a better capitalized management team.
• Operational innovations or strategies that differentiate the company from its competitors.
• Market Position relative to competitors, and major trends in the client's market segment.
2. Marketing
An integral part of nearly every Synergy’s marketing campaign is a series of documents written and produced by Synergy, with client input. Their purpose is to advertise, summarize and describe the key characteristics of the company, including financial status, operating components and market approach. These critical "selling" pieces are the initial interest-generators to promote the opportunity to the market. Promotion of a client company to assure maximum reach and attractiveness is one of Synergy strengths.
The marketing documents include:
• An anonymous company Advertisement - posted by Synergy on one or more M&A websites to which Synergy subscribes and read daily by thousands of investor/buyers. This assures the fast and wide distribution of the availability of a company for sale without revealing who it is.
• A Business Profile - typically produced to quickly summarize a company's features and attractiveness for prospective investor/buyers. It is deliberately anonymous, and sent by Synergy to targets agreed beforehand by Synergy and the client.
• A full Offering Prospectus - designed to show the complete Company details to an investor/buyer candidate who has been pre-qualified by Synergy and has signed a Non-Disclosure agreement. This is the primary "selling document", which can be delivered securely over the Internet or sent in paper form.
• Either way it is a high- quality, full-colour rendition of the company's key features.
3. Access
Synergy maintains contact with a large number of investor/buyer individuals and organizations seeking acquisition or investment opportunities. We maintain a database that describes their investment criteria and match these with a client's key selling features and characteristics. We also have access to thousands more such organizations through our Affiliate program. Each time a new client's details are input, an automated email is sent to all the matching Buyers or Investors registered to receive such details.
4. Execution
No amount of planning or communicating is any good unless the transaction is moved progressively forward, stage by stage. This takes effort and dedication to the end-goal. Since Synergy only accepts clients that we believe have an excellent chance of success, once started we fully commit to move a transaction through the M&A cycle as rapidly and effectively as possible benefiting both parties.
